TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the The Vi mobile application ("App"), provided by ANCIENT METALIFE SDN. BHD. ("Company," "we," "us," or &ldquoour").

By downloading, installing, accessing, or using the Metalife App, you confirm and signify that you have read, understood, accept and agree to comply with, and be bound by these Terms, along with our Privacy Notice. If you do not agree to these Terms, you may not use the App.

By creating an account, accessing, or using the App, you affirm that you are at least 18 years old and capable of forming a binding contract with ANCIENT METALIFE SDN. BHD. If you are accessing or using the App on behalf of a company or another legal entity, you represent that you have the authority to bind such entity to these Terms.

The The Vi App provides personalised strategic planner ("Services") based on user-provided data, including name, date of birth, and time of birth. These Services are intended for general information purposes only. They are not a substitute for professional advice of any kind (e.g., financial, medical, psychological, legal) and should not be relied upon as such. We make no representations, warranties or guarantees regarding the accuracy, reliability, completeness, or suitability of any information provided through the App, nor do we guarantee any specific outcomes or results from using the Services. Reliance on the App is solely at your own risk.

Account Creation:  To access certain features of the App, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account. We will not be liable for any loss or damage arising from your failure to comply with this security obligation. We may disable account at any time if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.
Account Responsibility: You are responsible for all activities that occur under your account, whether or not you have authorised them.
Non-Transferable: Your The Vi account is personal to you and may not be transferred or sold to another party.

You agree to use the App only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the App by, any third party. Prohibited conduct includes, but is not limited to:

• Using the App or engage in conduct or activity in connection with your use of our App in any way for any unlawful, illegal, unauthorised purpose or any activities which are against the law or public policy or which promotes public disharmony or anything that would give rise to criminal or civil liability.
• Framing or mirroring the whole or any part of our App.
• Reproduce, duplicate, copy, interfere, disrupt or circumvent the navigational structure, interface or presentation of our App.
• Inserting any code or product or manipulate any of the contents, materials, statements, and information contained in our App for any purpose or to affect other user’s experience with our App.
• Doing any activities which may interfere with our App or other user’s use of our App, including without limitation, any activities which restrict or inhibit other user from using our App such as hacking or defacing whole or any part of our App.
• Harassing, abusing, or harming another person or entity.
• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Impersonating as an employee, director, officer, representative or agent of ANCIENT METALIFE SDN. BHD. by using our App or through other manner in connection with our App for any purpose.
• Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Interfering with or disrupting the App or servers or networks connected to the App.
• Attempting to decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the App.
• Using our App to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any mobile/computer virus or malicious mobile/computer software, that is harmful or invasive or may or is intended to damage or hijack the operation of our App.
• Conducting or engaging in any manual, systematic or automated data collection activities in any manner, including without limitation, any retrieving, scraping, data mining, data extraction, data harvesting, robots, or similar data gathering or extraction methods, on or in relation to our App and its content, including harvesting or collecting data about other users on our App.
• Engaging in any conduct or activity that in our opinion will tarnish, cause embarrassment, jeopardize, affect, damage or bring disrepute to the interest and reputation of ANCIENT METALIFE SDN. BHD.
• Knowingly introduce any viruses into our App or attack (or instigate or facilitate the attack of) our App via a denial-of-service attack or a distributed denial-of-service attack, or use our App for any purpose which is unlawful, abusive, libellous, obscene or threatening. A breach of this clause may constitute a criminal offence. We may report any such breach (whether actual or suspected) to the relevant law enforcement authorities and you hereby agree to co-operate with those authorities.

Our App comes with limited features and functions for free for non-subscribed users, and full features and functions for subscribed users.

Subscribed users’ enjoyment of the full features and functions of our App is subject to their full payment of our subscription price (unless as otherwise agreed by us). Payment of any part or whole of the subscription price for our App is non-refundable. If any part or whole of the subscription price is owing by a subscribed user, we reserve the right to suspend the said subscribed user’s access to the full features and functions of our App.

Our payment terms and subscription price for our full features and functions of our App may vary from time to time, and we reserve our rights to revise the payment terms, subscription price and any promotions in relation to our App from time to time.

As our App may be used without a subscription, canceling your subscription does not remove your profile from our App. If you wish to fully terminate your account under our App, you must terminate your account.

Our Content: All content, features, and functionality within the The Vi App, including but not limited to copyrights, trademarks, service marks, text, graphics, logos, icons, images, audio clips, video clips, typefaces, interfaces, layout, look, appearance, technology, data compilations, materials, information, and software, are the exclusive property of ANCIENT METALIFE SDN. BHD. or its licensors and are protected by Malaysian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
License to You: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial use only. Apart from the limited license granted to you, nothing contained on our App shall be construed as granting any license or right to use any of the intellectual property rights in our App without ANCIENT METALIFE SDN. BHD.’s prior written consent.
Restrictions: You expressly agree that you shall not reproduce, distribute, copy, modify, adapt, dissemble, decompile, reverse engineer, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App or otherwise exploit any contents, materials or information on our App, including the intellectual property rights of our App for any purpose.

THE VI APP AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP ARE PROVIDED BY ANCIENT METALIFE SDN. BHD. ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ANCIENT METALIFE SDN. BHD. DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANCIENT METALIFE SDN. BHD. DOES NOT ASSUME ANY LIABILITY FOR THE INFORMATION, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE APP. RELIANCE ON THESE MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES CONTAINED IN OUR APP IS SOLELY AT YOUR OWN RISK. WE DISCLAIM ANY LIABILITY FOR INJURY OR DAMAGES RESULTING FROM THE USE OF OUR APP, OR ANY OF THE CONTENT CONTAINED THEREON.

We may occasionally update and change the contents, features, functions, materials, statements, information, products or services contained in our App. We are not able to guarantee that our App, or its contents, features, functions, materials, statements, information, products or services will always be available. We may suspend or withdraw or restrict the availability of all or any part of our App for business and operational reasons.

We do not guarantee that our App will be uninterrupted, error-free, that defects will be corrected, secure or free from bugs or viruses or other harmful elements. You should use your own virus protection software. It is your sole responsibility to ensure that you have in place appropriate virus protection processes and software when you visit, access and use our App.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANCIENT METALIFE SDN. BHD., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU (INCLUDING ANY OF YOUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AS APPLICABLE) FOR AN LOSS AND DAMAGES OF ANY KIND UNDER ANY LAWS AND REGULATIONS, INCLUDING WITHOUT LIMITATION, ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS AND DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF REVENUES, INCOME OR ANTICIPATED SAVINGS, LOSS OF CONTRACTS OR BUSINESS RELATIONSHIP, LOSS OR CORRUPTION OF DATA OR INFOMATION, LOSS OF USE, LOSS OF REPUTATION OR GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM OR IN RELATION TO (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORISED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (V) DELAY, INTERRUPTION IN SERVICE, VIRUSES, DELETION OF FILES OR ELECTRONIC COMMUNICATIONS, OR ERRORS, OMISSIONS OR OTHER INACCURACIES IN OUR APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

If you breach these Terms in any way, we may take such action as we deem appropriate to deal with the breach, including suspending or prohibiting your access to our App, contacting your internet service provider to request that they block your access to our App and/or bringing court proceedings against you.

No failure on our part to exercise, and no delay on our part in exercising any right or remedy under these terms and conditions shall operate as a waiver thereof, nor will any single or partial exercise of any right or remedy preclude us from any other or further exercise thereof or the exercise of any other right or remedy available to us at law and in equity.

You agree to indemnify, defend, and hold harmless ANCIENT METALIFE SDN. BHD., its affiliates, officers, directors, employees, consultants, and agents from any and all claims, demands, suits, actions, proceedings, investigations, defence, settlement, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) of any nature whatsoever incurred or suffered by ANCIENT METALIFE SDN. BHD., its affiliates, officers, directors, employees, consultants, and agents as a result of or arising from or in connection with your (a) violation or breach of these Terms; (b) your use of the App; or (c) your violation or breach of any rights of any other person or entity in connection with our App, including but not limited to, any infringement of intellectual property rights belonging to us or any third party arising out of any unauthorised use of intellectual property rights by you.

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by the Courts of Malaysia.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time and from time to time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

These Terms, including any legal notices and disclaimers contained on our website, and our Privacy Notice constitute the entire agreement between you and ANCIENT METALIFE SDN. BHD. regarding the Metalife App, superseding any prior agreements between you and us regarding the App.

We reserve the right to final interpretation of these Terms. Please be aware that additional legal notices, disclaimers, and other terms and conditions may apply to you in using our App.
